Terms of Service

The terms and conditions governing your use of MinaLabs products and services.

1. Agreement to Terms

By downloading, installing, or using any MinaLabs application or service (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our Services.

These Terms apply to all users of our Services, including visitors, registered users, and premium subscribers. MinaLabs reserves the right to update these Terms at any time.

2. Description of Services

MinaLabs provides mobile applications designed to help users manage personal assets, track events, organize information, and improve productivity. Our current and upcoming applications include:

  • Trackly – Personal asset and life event tracking application for iOS and Android.
  • FocusFlow – Deep work and focus timer application (coming soon).
  • Journalix – AI-powered journaling and reflection application (in development).

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with or without notice.

3. Eligibility and Accounts

3.1 Eligibility

You must be at least 13 years of age (or 16 in the European Economic Area) to use our Services. By using our Services, you represent and warrant that you meet this age requirement.

3.2 Account Registration

Some features require account registration. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Keep your password secure and not share it with third parties.
  • Notify us immediately of any unauthorized use of your account.
  • Accept responsibility for all activities that occur under your account.

3.3 Account Termination

You may delete your account at any time from within the app settings. We reserve the right to suspend or terminate your account if you violate these Terms.

4. Subscriptions and Payments

4.1 Free Tier

Our Services may offer a free tier with limited features. The scope of the free tier is subject to change at our discretion.

4.2 Premium Subscriptions

Premium features are available through paid subscriptions processed via Apple In-App Purchase. By subscribing, you agree to:

  • Pay the applicable subscription fee as displayed in the App Store.
  • Automatic renewal of your subscription unless cancelled at least 24 hours before the end of the current period.
  • Charges being applied to your iTunes / Apple ID account upon confirmation of purchase.

4.3 Cancellation

You may cancel your subscription at any time through your Apple ID account settings (Settings → Apple ID → Subscriptions). Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused periods.

4.4 Refunds

All purchases are processed by Apple. Refund requests must be submitted directly to Apple through their standard refund process at reportaproblem.apple.com.

4.5 Price Changes

We reserve the right to change subscription prices at any time. You will be notified of price changes before they take effect, with the option to cancel your subscription.

5. User Content and Data

5.1 Your Content

You retain ownership of all content, data, and information you create, upload, or store within our Services (“User Content”). By using our Services, you grant MinaLabs a limited, non-exclusive, royalty-free license to store and process your User Content solely to provide the Services.

5.2 Your Responsibilities

You are solely responsible for your User Content and agree not to upload or store content that:

  • Infringes any intellectual property, privacy, or other rights of third parties.
  • Is unlawful, defamatory, threatening, obscene, or otherwise objectionable.
  • Contains malware, viruses, or other harmful code.
  • Violates any applicable laws or regulations.

5.3 Data Backup

While we strive to maintain data integrity, we recommend keeping backups of important information. MinaLabs is not liable for data loss due to technical failures or account termination.

6. Acceptable Use

You agree not to misuse our Services. Prohibited activities include:

  • Reverse engineering, decompiling, or disassembling our applications.
  • Attempting to gain unauthorized access to any portion of our Services or systems.
  • Using automated tools (bots, scrapers) to access or collect data from our Services.
  • Interfering with or disrupting the integrity or performance of our Services.
  • Circumventing any security or access control measures.
  • Using our Services for any illegal or unauthorized purpose.
  • Sharing, reselling, or sublicensing access to our Services without our written consent.

7. Intellectual Property

7.1 Our Property

All content, features, and functionality of our Services — including but not limited to software, code, text, graphics, logos, icons, images, and audio — are the exclusive property of MinaLabs and are protected by copyright, trademark, and other intellectual property laws.

7.2 License to You

Subject to these Terms, MinaLabs grants you a limited, non-exclusive, non-transferable, revocable license to use our applications on devices you own or control, solely for your personal, non-commercial use.

7.3 Restrictions

You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any part of our Services without our prior written consent.

8. Privacy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully.

9. Disclaimers and Limitation of Liability

9.1 Disclaimers

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINALABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES.

IN NO EVENT WILL MINALABS' TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRIOR TO THE CLAIM OR (B) USD $100.

10. Indemnification

You agree to indemnify, defend, and hold harmless MinaLabs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of our Services, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any rights of a third party.

11. Third-Party Services

Our Services may integrate with or link to third-party services (e.g., Apple Sign-In, cloud storage). These services have their own terms and privacy policies. MinaLabs is not responsible for the practices of third-party services. Your use of such services is at your own risk.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Vietnam, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of courts located in Vietnam for any disputes arising under these Terms.

For any dispute, we encourage you to first contact us at thoaint.apple@gmail.com to seek resolution informally before initiating legal proceedings.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we do, we will update the “Last updated” date. For material changes, we will notify you via email or an in-app notification at least 14 days before the changes take effect. Continued use of our Services after changes become effective constitutes acceptance of the updated Terms.

14. Severability and Waiver

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not constitute a waiver of that right or provision.
